Terms of Service

Please review these Terms of Service carefully before setting up your Zilla storefront. By creating an account, you agree to be bound by these provisions.

1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Merchant", "User", "You") and Zilla Technologies Limited ("Zilla", "We", "Us", "Our"), a company registered under the laws of the Federal Republic of Nigeria.

By signing up for an account, accessing `zilla.ng`, or using any of our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy and Merchant Agreement.

2. Nature of the Zilla Service

Zilla is a specialized Software-as-a-Service (SaaS) storefront engine designed for social commerce and WhatsApp sellers. Zilla enables merchants to:

  • Create clean, mobile-optimized online catalogs linked to unique handles (`zilla.ng/yourstore`).
  • Atomically track product stock units and prevent customer overselling in real time.
  • Capture structured buyer orders and generate automated, formatted WhatsApp checkout direct messages.
  • Curate micro-catalog drops and product links for social media broadcasting.
Important Disclosure: Zilla provides software infrastructure for order capture and catalog hosting. Zilla is not an online marketplace, escrow provider, bank, or payment intermediary. All product fulfillment, delivery logistics, and price bargaining occur directly between you and your customers.

3. Merchant Registration & Account Security

To access the merchant dashboard, you must register with a valid Nigerian mobile phone number (accessible via WhatsApp), accurate personal identification, and a secure password.

  • You are solely responsible for maintaining the confidentiality of your account credentials and password.
  • You must immediately notify Zilla of any unauthorized use or security breach of your merchant account.
  • Store handles (`zilla.ng/:handle`) are granted on a first-come, first-served basis. Zilla reserves the right to reclaim or reassign trademarked, deceptive, or offensive handles.

4. 30-Day Free Trial & Subscription Billing

Every new merchant account is granted a full-access 30-Day Free Trial with zero upfront payment details required.

  • Trial Duration: 30 calendar days starting immediately upon registration.
  • Standard Subscription Rate: Following the trial, continued storefront hosting and order capture requires an active SaaS subscription billed at ₦1,000 per month (or discounted multi-month/annual packages).
  • Grace Period & Data Preservation: If your subscription lapses, your product catalog and order history remain securely preserved in our database for 90 days. Your public storefront link will display a friendly maintenance notice until renewed.

5. Product Slots & Capacity Top-Ups

To maintain ultra-fast page speeds for mobile buyers on 3G/4G networks across Nigeria, Zilla organizes catalog allowances by product slots:

  • Base Allowance: Every subscription includes 20 active product slots (each accommodating up to 3 images per listing on paid plans or 1 image on free trial, 1 image per variant, description, and atomic inventory tracking).
  • Capacity Top-Ups: Merchants requiring additional catalog capacity may purchase additional product slots at ₦100 for 1 slot that lasts for 1 month.
  • Slots can be purchased in modular bundles (e.g., +10 slots for ₦1,000/mo) from your billing dashboard.

6. Direct Bank Settlements

Zilla adheres strictly to a Direct Commerce Model:

  • Direct-to-Bank Payments: During WhatsApp checkout, customers transfer payments directly to your designated Nigerian bank account (NUBAN). Zilla never touches, freezes, holds, or delays your customer revenue.

7. Affiliate & Influencer Program Terms

All registered merchants automatically receive a unique referral link (`zilla.ng/ref/:code`).

  • Recurring Lifetime Commission: Affiliates earn ₦100 per month on every referred merchant for every subscription renewal for as long as the merchant remains subscribed.
  • Withdrawal Threshold: Affiliates may request payouts to their Nigerian bank account once their wallet balance reaches a minimum threshold of ₦1,000.
  • Attribution Rules: First-touch attribution identifies awareness campaigns, while referral link tokens determine commission payout ownership. Self-referrals and artificial accounts are strictly prohibited and subject to forfeiture.

8. Prohibited Goods & Conduct

You agree not to list, advertise, or sell any of the following items on your Zilla storefront:

  • Counterfeit currency, forged instruments, or Ponzi/pyramid schemes.
  • Illegal narcotics, controlled substances, and unapproved pharmaceuticals.
  • Firearms, ammunition, military contraband, and weapons.
  • Explicit adult materials, non-consensual imagery, and prohibited sexual services.
  • Stolen property or items infringing third-party intellectual property or copyright.

9. Intellectual Property & Content Rights

You retain full ownership of all product photographs, trademarks, descriptions, and brand assets uploaded to your Zilla storefront. You grant Zilla a limited, worldwide license to host, display, and optimize these images via our CDN solely for operating your online storefront.

All software code, database architecture, design systems, algorithms, and brand elements of Zilla are the exclusive property of Zilla Technologies Limited.

10. Account Suspension & Termination

You may cancel your account at any time via your dashboard settings. Zilla reserves the right to immediately suspend or terminate any account found engaging in fraudulent customer scams, counterfeit listings, abusive chargeback schemes, or violations of Nigerian laws.

11. Disclaimer & Limitation of Liability

The Zilla service is provided on an "AS IS" and "AS AVAILABLE" basis. Zilla disclaims all warranties of any kind, whether express or implied. To the maximum extent permitted by Nigerian law, Zilla shall not be liable for any indirect, incidental, special, or consequential damages resulting from lost sales, WhatsApp platform downtime, delivery disputes, or courier delays.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to this Agreement shall first be submitted to good-faith mediation before seeking recourse in courts of competent jurisdiction in the Federal Republic of Nigeria.
